クライアント合意書
This is the Agreement for, I/we, the Client(s) to appoint Atlas Investment Partners Limited to act as my/our agent of services or products required. The terms of Client Agreement between Atlas Investment Partners Limited and me/us are as follows:
本文書は、私（達）が受けるサービスや商品に関し、Atlas Investment Partners Limitedをサービス提供エージェントとして任命する為のクライアント合意書である（以下「合意書」）。Atlas Investment Partners Limitedと、私(達)間における合意書の内容は以下の通りとする。

1. Atlas Investment Partners Limited (the "Company") is a company incorporated in the British Virgin Islands with its registered office at 30 de Castro Street, Wickhams Cay 1, P.O. Box 4519, Road Town, Tortola, British Virgin Islands, holding licences for Category 3: Investment Management and Category 4: Investment Advice.
Atlas Investment Partners Limited（以下、「甲」）はその登録住所を30 de Castro Street, Wickhams Cay 1, P.O. Box 4519, Road Town, Tortola, British Virgin Islandsに置く、Category 3: Investment Management, Category 4: Investment Adviceのライセンスを保有する英領バージン諸島籍の法人である。
2. I/We understand that the Company acts as my/our agent in referring me/us to the product/services providers as per my/our request.
私(達)（以下、「乙」）は、自らの依頼により甲が乙へ商品/サービスプロバイダーを紹介する代理人となる役割を担うことを理解している。
3. Before undertaking any business, I/we understand I/we need to provide to the Company my/our identity and address as shown on the Client Information Sheet and this Agreement by obtaining some independent documentary evidence such as, but not limited to, copies of Passport, Identity Card, Business Registration Certificate, Certificate of Incorporation and/ or other corporation documents as the case may be, and to hold on file a copy of such documents.
何らかの取引を開始する前に、乙は甲へクライアント情報シートに乙の身分及び住所を開示し、本契約書を含む複数の独立した書類、パスポートや身分証明書・住所証明書の写し、商業登記証、会社登録証書および/または場合によりそれに準ずる証明書類の提出を求められ、それらの書類が甲によって保管されることを理解している。
4. I/We understand that I/we may terminate at any time the authority given to the Company to act on my/our behalf, by giving one month notice to the Company in writing to that effect. Likewise, the Company may terminate the arrangement between me/us and the Company by giving one month written notice. Termination will be without prejudice to the completion of transactions already initiated.
乙は、自身の代理として甲に与えた権限を終了する旨を1ヶ月前に書面にて甲へ通知することにより、それをいつでも終了することができる。同様に甲も1ヶ月前に書面により通達することで甲乙間の業務委託を終了することができる。但し、契約終了は、既に開始されている取引に影響しない。
5. I/We understand that most of the Company's income is derived from the introducing fees as a result of arranging transactions with service/products providers on my/our behalf. In addition, the Company may, from time to time, (to the extent not prohibited by any applicable law) receive and retain introducing fees in connection with such relevant arrangements. The Company has my/our consent in receiving and retaining such introducing fees. Neither the receipt nor retention by the Company of such introducing fees shall be construed as giving rise to any breach of fiduciary duty or equitable duty that the Company may owe to me/us.
甲の収入源のほとんどは、乙の代理としてサービスプロバイダーとの取引を締結することで得られる紹介料である。さらに甲は、関連するサービスの提供において（いかなる適用法にも抵触しない範囲で）、継続紹介料を受け取り確保することができる。乙は、甲がそのような紹介料を受け取り確保することに同意する。そのような紹介料の受領ならびに確保は、いずれも甲が乙に対して負う可能性のある受託者責任または正当な義務の不履行の原因にはならない。
6. I/We understand that personal data provided by me/us, and details of transactions or dealings between me/us and the Company will be used, stored, disclosed and transferred (in and outside the British Virgin Islands) to such persons as the Company considers necessary, for any purpose in connection with the services the Company may provide to its client(s), and/or in connection with matching, for whatever purpose with other personal data concerning its client(s), and/or for the purpose of promoting, improving and furthering the provision of services by the Company to its client(s) generally. I/We have the right to request access to and correction of any personal data or to request the personal data not to be used for direct marketing purposes.
乙の提供する個人情報、及び甲乙間の取引または売買の詳細は、甲が必要と考える人物に対して使用、保管、開示及び移転（英領バージン諸島内外）される場合がある。そのような使用、保管、開示及び移転は、その顧客が甲の提供するサービスを受ける場合、及び/または目的の如何を問わずその顧客に関連するその他の個人情報との照合に関わること全て、そして/または甲がその顧客に提供するサービスの宣伝等、関連業務全般を目的とする。乙は、全ての個人情報へのアクセスおよびその訂正等、個人情報を営業目的で使用しないよう要求する権利を有する。
7. I/We fully understand the fact that the value of investments can and does fluctuate. The price of any individual investment may move up or down, and may become valueless. There is an inherent risk that losses will be incurred rather than profit made as a result of buying or selling investments. I/We may ask questions on this risk disclosure statement and take independent advice if I/we wish.
乙は以下の点について十分に理解している。投資対象の価値は実際変動するという事実に基づき変動する可能性がある。個々の投資対象の価格は上昇または下落し、また価値を失う可能性がある。投資対象の売買には、本質的に利益を出せず損失が発生するというリスクが含まれる。乙はこれらの本リスク開示に関し質問をし、希望する場合は独立した第三者からの助言を受けることができる。
8. The Company acts as an introducer and administrative agent and, where appointed by me/us as fund adviser, provides portfolio construction and fund switching services. The Company does not guarantee the performance of any investment and shall not be liable for any loss arising from market fluctuations or the performance of any product. With respect to the services provided by the Company (including portfolio construction and switching where so appointed), the Company shall not be liable for any loss except where such loss is caused by the Company's willful misconduct or gross negligence, to the extent permitted by applicable law.
甲は、取次および事務代行を行うほか、乙からファンドアドバイザーに任命された場合には、ポートフォリオの構築およびスイッチング（ファンドの入替え）に関するサービスを提供する。甲は、いかなる投資の運用成果も保証せず、市場の変動または商品の運用成績に起因する損失について責任を負わない。甲が提供するサービス（任命された場合のポートフォリオ構築およびスイッチングを含む）に関しては、甲の故意または重大な過失による場合を除き、適用法令の認める範囲において、甲は損失について責任を負わない。
9. The Company does not provide tax or legal advice. I/We understand that I/we am/are responsible for obtaining independent tax or legal advice as necessary in relation to this application and the products applied for.
甲は、税務上または法務上の助言を提供しない。乙は、本申込および申込対象の商品に関し、必要に応じて自らの責任で独立した税務・法務の専門家に相談することを理解している。
10. Where this application is made jointly by two persons, the obligations of the joint applicants under this Agreement shall be joint and several. Any notice given by the Company to either joint applicant shall be deemed to have been given to both, and the Company may act on instructions received from either joint applicant unless otherwise agreed in writing.
本申込が2名による共同名義で行われる場合、共同名義人は本合意に基づく義務を連帯して負う。甲から共同名義人のいずれか一方に対して行われた通知は、両名に対して行われたものとみなす。また、書面による別段の合意がない限り、甲は共同名義人のいずれか一方からの指示に基づき対応することができる。
11. I/We understand that both the Company and I/we undertake to notify each other in the event of any material change in the information provided in this Agreement. If I/we have any complaint about the service I/we received from the Company, I/we should notify the Company in writing.
甲及び乙の双方とも、本契約に提示されている情報に何らかの重要な変更がある場合にはお互いに通知することに同意する。乙は、甲から受けるサービスに何らかの不満がある場合、甲へ書面にて通知する。
12. I/We understand that the Company reserves the right to amend or modify this Agreement at the Company's discretion. Such amendment or modification shall be notified to me/us in writing and I/we shall be deemed to accept such notification if I/we do not object the notification to the Company in writing within one month of the issuance of notification.
甲は自らの裁量で本契約を修正または変更する権利を有する。そのような修正または変更は、乙へ書面にて通知され、乙が通知を受け取ってから１ヶ月以内に書面による異議申し立てを行わない場合、承諾したものとみなされる。
13. Any notice under this Agreement may be given in writing, including by e-mail. Notices to the Company shall be sent to info@atlas-biz.com, and notices to me/us shall be sent to the e-mail address provided in this application.
本合意に基づく通知は、電子メールを含む書面により行うことができる。甲への通知は info@atlas-biz.com 宛てに、乙への通知は本申込に記載された電子メールアドレス宛てに行うものとする。
14. I/We understand that the Company will appoint Jumbo Alliance Funds Limited as company's servicing agent. I/We acknowledge that all of my/our information and details maybe shared to Jumbo Alliance Funds Limited for the relevant purposes. I/We also understand and agree that I/we may be contacted by the staffs from Jumbo Alliance Funds Limited to accomplish the service when necessary.
甲はジャンボ アライアンス ファンズ リミテッドを甲の顧客サービスエージェントとして任命し、乙が提出する情報や詳細は関連サービスを提供する目的において、ジャンボ アライアンス ファンズ リミテッドと共有される。乙は必要に応じてジャンボ アライアンス ファンズ リミテッドの従業員から連絡を受ける可能性があることを理解し承諾する。
15. I/We understand that in the event of any difference in the interpretation or meaning between the Japanese and English version of this Agreement, the English version shall prevail.
乙は本契約の日本語版と英語版の間に何らかの解釈または意味の相違がある場合、英語版が優先されることを理解している。
16. I/We understand that this Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands. The courts of the British Virgin Islands shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
本契約は英領バージン諸島の法律に準拠し、それによって解釈される。本契約に起因または関連して生じる一切の紛争については、英領バージン諸島の裁判所を専属的合意管轄裁判所とする。
RISK DISCLOSURE STATEMENT　リスクディスクロージャー
Credit Risk
信用リスク		Any financial corporation (i.e. the policy issuer) might default on its payments in the future. The longer the term to repayment, the greater the risk.
Currency Risk
為替リスク		The profit or loss in transactions in foreign currency-denominated policies will be affected by fluctuations in currency rates where there is a need to convert from the currency denomination of the policy to another currency.
Liquidity Risk
流動性リスク		A particular investment may not be traded or howsoever converted into cash in a short time.
Reinvestment Risk
再投資リスク		Proceeds or interests earned from an investment may have to be reinvested at a lower potential rate, particularly, so during the period of falling interest rates.
Risk of Fund Prices Fluctuation
ファンド価格変動のリスク		The prices of funds fluctuate, sometimes dramatically. The price of a fund may move up or down, and may become valueless. It is likely that losses will be incurred rather than profit made as a result of buying and selling funds.
CONFIRMATIONS AND ACKNOWLEDGEMENTS

I/We confirm that this Agreement was provided to me/us in a language of my/our choice (English/Japanese), ask questions and take independent advice if I/we wish. I/We hereby acknowledge and confirm that the information provided on this Agreement is true and completed, and that I/we have read and agreed the Agreement and all of which form the agreement made between the Company and me/us. I/We understand this agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands.
私(達)は、本契約書が私(達)の選んだ言語(英語/日本語)で提供され、必要があれば質問したり、また希望する場合は第三者の助言を受けるよう勧められたことを、ここに承認し確認します。私(達)は、本契約書内で提供された情報が真実であるということ、また本契約書、及び甲と私(達)の間で交わされた取り決めを構成するもの全てを読んでそれに同意したことを、ここに承認し確認します。私(達)は、この合意が英領バージン諸島の法律に準拠しそれに従って解釈されることを理解しています。
I/We have read the product materials, brochures and marketing materials of the product(s) that I am/we are applying for. I/We declare and agree that I/we fully understand and accept my/our application(s) for this contract.
私(達)は申込する商品の商品概要、主要パンフレットやその他の資料に述べられているリスクに関する記述を読んで理解しています。私(達)は当契約の申込に関する内容を完全に理解し、了承していることを認め宣言します。
I/We agree that execution of this Agreement by electronic means, including typing my/our name(s) into the signature field of this online form, shall be valid and binding and shall have the same effect as a handwritten signature.
私(達)は、本ウェブフォームの署名欄への氏名の入力を含む電子的方法による本合意書への署名が、有効かつ拘束力を有し、自署による署名と同一の効力を有することに同意します。

＜個人情報の取扱いおよび免責事項＞
Atlas Investment Partners Limited（英領ヴァージン諸島において設立された法人。以下「当社」といいます）は、本申込フォームを通じてお客様からご提供いただく個人情報および本人確認書類の画像（以下「個人情報等」といいます）を、日本の個人情報保護法その他適用される法令に従い、以下のとおり取り扱います。
1. 事業者および取扱いの場所
当社は英領ヴァージン諸島（BVI）の法人です。収集した個人情報等は、当社の香港の担当者、ならびに当社が選定したクラウドサービス提供者および業務委託先により、香港その他本事項に記載する地域で処理または保存される場合があります。
2. 利用目的
ご提供いただいた個人情報等は、(1)本人確認（KYC）、(2)申込内容の確認・審査およびお申込手続きの取次・事務代行、(3)お申込先への申込書類の作成・提出、(4)法令遵守および不正利用の防止、(5)お取引に関する連絡、お問い合わせ対応、アフターサービスおよびご案内、の各目的にのみ利用し、それ以外の目的には利用しません。なお、必須項目をご提供いただけない場合、お申込みまたは本人確認を受け付けられないことがあります。
3. 外国にある第三者への提供
今回ご提供いただいた内容は、Dominion Capital Strategyへのお申込みを目的とするものであり、それ以外に利用されることはありません。お申込手続きのため、お客様の個人情報等は、英国王室属領ガーンジーに所在するDominion Capital Strategiesおよび手続きに関与する関係会社に提供されます。
ガーンジー・香港・BVIには、それぞれ日本とは異なる個人情報保護制度があります（ガーンジー：データ保護法2017〔EUのGDPRとの十分性認定あり〕、香港：個人資料（私隠）条例、BVI：データ保護法2021）。提供先・取扱拠点においては、各適用法令および契約上の守秘義務に基づき、個人情報等が適切に管理されます。
本フォームの送信（下記の同意チェックを含みます）をもって、上記の外国における取扱いおよび外国にある第三者への提供に同意いただいたものとします。
4. お客様による情報のご提供
お客様は、正確かつ最新の情報をご提供いただくものとし、第三者（受益者等）の情報をご提供いただく場合には、必要な権限または同意を得ているものとします。当社は、お客様のご依頼に基づき、ご提供いただいた情報を英文へ翻訳のうえ申込書類に転記する事務を行います。虚偽または不正確な情報のご提供に起因する不利益について、当社は適用法令により認められる範囲で責任を負いません。
5. 安全管理と責任の範囲
当社は、適用法令に従い、個人情報等の漏えい・滅失・毀損および不正アクセスを防止するため、SSL/TLS暗号化通信、アクセス制限その他の合理的かつ適切な安全管理措置を講じます。ただし、インターネット通信および電子的保存に伴うリスクを完全に排除できることを保証するものではありません。お客様の端末・通信環境・認証情報の管理不備、第三者によるお客様の端末への不正アクセスその他当社の合理的な管理が及ばない事情により生じた損害について、当社は、適用法令により認められる範囲で責任を負わないものとします。
6. 当社の役割
当社は、本フォームにおいてはお申込手続きの取次・事務代行を行います。当社は本申込に関して金融商品の発行者・販売者ではありません。投資助言ならびにポートフォリオの構築およびスイッチングに関するサービスは、お客様が当社をファンドアドバイザーとして任命された場合に限り提供します。また、日本の金融商品取引業者としての登録は受けていません。本申込はお客様ご自身の意思と判断に基づいて行われるものであり、当社は運用成果の保証、元本の保証および損失の補償を一切行いません。商品の内容、手数料、リスク、解約条件等は、商品提供会社（Dominion Capital Strategies）が定める約款・説明資料を必ずご確認ください。
7. 責任制限の限界
本項に定める責任の限定または免除は、適用法令上認められる範囲においてのみ効力を有するものとします。
8. 開示・訂正・削除のご請求
ご自身の個人情報等の照会・訂正・削除をご希望の場合は、info@atlas-biz.com までご連絡ください。ご本人であることを確認のうえ、適用される法令に従い速やかに対応いたします。
9. 保存期間
個人情報等は、利用目的の達成および法令上必要とされる期間に限り保存し、その後は安全な方法により廃棄・消去します。
10. 準拠法
本事項の解釈および適用は、英領ヴァージン諸島（BVI）法に準拠します。
